1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Total Enterprise Support Ltd ("we," "us," or "our"), a company registered in England and Wales.

By engaging our services, accessing our website, or signing a letter of engagement, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Services & Scope

We provide accounting, business consultancy, due diligence, and charity support services. The specific scope of work will be detailed in a separate Letter of Engagement provided to you upon commencement of our partnership.

Any advice provided by us is for your sole use and does not constitute advice to any third party. We do not accept responsibility to any third party for any aspect of our professional services or work that is made available to them.

3. Client Obligations

To enable us to provide accurate services, you agree to:

Provide complete, accurate, and timely information regarding your business or charity affairs.
Notify us immediately of any changes to your circumstances that may affect the services we provide.
Comply with all applicable laws and regulations relevant to your business operations.

                Anti-Money Laundering (AML): As a regulated financial services provider, we are required by UK law to verify the identity of our clients. You agree to provide valid identification documents upon request. Failure to do so may result in the termination of services.
            

4. Fees & Payment Terms

Our fees are set out in the Letter of Engagement. Unless otherwise agreed:

Invoicing: We invoice on a monthly basis for ongoing services or upon completion for project-based work (e.g., Due Diligence).
Payment Terms: All invoices are due for payment within 30 days of the invoice date.
Late Payment: We reserve the right to charge interest on overdue amounts at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
Suspension: We reserve the right to suspend services if fees remain unpaid after 60 days.

5. Confidentiality & Data Protection

We are committed to maintaining the confidentiality of your proprietary information. Both parties agree not to disclose any confidential information to third parties, except as required by law or with prior written consent.

We process personal data in accordance with our Privacy Policy and the UK GDPR.

6. Limitation of Liability

We will provide our services with reasonable care and skill. However, our liability to you is limited as follows:

We are not liable for any loss arising from inaccurate or incomplete information provided by you.
We are not liable for any indirect, special, or consequential losses (including loss of profit).
Our total aggregate liability for any claim shall not exceed the total fees paid by you to us in the 12 months preceding the claim, or £2,000,000 (the limit of our Professional Indemnity Insurance), whichever is lower.

7. Termination

Either party may terminate the engagement by giving 30 days' written notice to the other party.

We may terminate the agreement immediately if:

You commit a material breach of these Terms.
You fail to pay fees when due.
You become insolvent or enter into liquidation.
We are unable to comply with our legal obligations (e.g., AML conflict).

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
